Terms of Service

The agreement between you and Tri-Point Axis for using Resibo.

1. Who you are agreeing with

Resibo is operated by Tri-Point Axis. In these terms, "we" and "us" mean Tri-Point Axis, and "you" means the taxpayer whose business is registered in the account, together with anyone you invite into it.

By creating an account, or by using the service under an account someone invited you to, you accept these terms.

2. What Resibo is, and what it is not

Resibo connects to your marketplace accounts, reads your orders, turns each one into a structured electronic invoice, and keeps a record of it. It exists because Revenue Regulations 11-2025 requires covered taxpayers to issue invoices in a structured, electronically transmittable form.

Resibo is software. It is not an accountant, a tax adviser, a bookkeeper or a law firm, and nothing it displays is professional advice. Whether you are covered by the regulation, which tax type applies to you, and whether a particular sale is taxable are questions for your own accountant.

We are not the Bureau of Internal Revenue, we are not endorsed by it, and an invoice produced here is not approved by it merely by existing.

3. Your account and your business

An account holds one or more businesses. A business is a BIR-registered taxpayer: a TIN, a registered name, a registered address and a tax type. Every invoice we generate is stamped with those details, which is why we ask for them before the product will do anything else.

You are responsible for the accuracy of that profile. If your TIN, registered name, address or tax type is wrong here, every invoice we generate for you is wrong, and we have no way to know it.

  • Keep your sign-in credentials to yourself. Anything done under your account is treated as done by you.
  • You may invite other people, including your accountant, into your business. What each of them can do depends on the role you give them, and you are responsible for what they do.
  • Tell us promptly if you believe someone else has your credentials.

4. Connecting your marketplace accounts

To read your orders we need your authorisation on each marketplace you sell on. You give it through the marketplace's own consent screen, and it produces an access token that we store encrypted. We never ask for and never hold your marketplace password.

You can withdraw that authorisation at any time from the marketplace's own settings. When you do, we stop being able to pull new orders from that account. Orders and invoices already created stay where they are, for the reasons in section 8.

We read your orders. We do not manage your listings, your prices, your inventory or your payouts, and connecting a shop does not let us act on your behalf on that marketplace beyond what the regulation requires of an invoice.

5. Invoices, and who is answerable for them

Read this section carefully. It is the one that matters.

When an order settles, Resibo computes the invoice and, where the order is unambiguous, issues it without asking you first. Orders that are ambiguous are held for you to look at instead. This is a deliberate design: at the volumes an online seller works at, an invoice that waits for a human is an invoice that is late.

You remain the taxpayer. The invoice is your document, issued under your registration, and the duty to issue a correct one is yours under the tax rules. Our duty is to compute it from your order data using the rules as we understand them, and to give you a record of what was issued and when.

Because the invoice issues automatically, you are expected to review what the product produces rather than assume it. Every issued invoice is listed in the app, and every held order says why it is held.

If you find an invoice that is wrong, tell us, and tell your accountant. A correction is a new document rather than an edit: an issued invoice is never silently changed, and it is never deleted.

6. Transmission to the BIR

Where transmission to the Bureau's Electronic Invoicing System is available to us, we transmit and record what the Bureau returns. Where it is not, we produce a compliant record and keep it.

We do not promise that a transmission will succeed, that the Bureau's system will be available, or that a record we hold will be accepted in an assessment. What we can give you is evidence of what we sent and what came back.

7. Subscription, billing and cancellation

Resibo is sold on a subscription. Your plan sets what you pay and how many invoices it covers. Fees are quoted in Philippine pesos.

  • You may cancel at any time. Cancellation stops the next renewal; it does not refund the period you are in.
  • We do not pro-rate a partial period, and we do not charge you for a period you cancelled before it started.
  • If we get a charge wrong, tell us and we will correct it.
  • We will never block your ability to issue an invoice because of a billing dispute. A tax duty does not pause because an invoice to us is unpaid.

Some accounts are on a free or whitelisted arrangement. Where that is the case it is stated in the app, and these terms otherwise apply unchanged.

8. What we keep, and why we cannot delete it

Tax records have a retention period, and an issued invoice is a tax record. Once an invoice exists in your account, we keep it. Closing your account does not delete it, cancelling your subscription does not delete it, and asking us to delete it does not delete it.

This is unusual for a software product and we would rather say it plainly than bury it. If the permanence of that archive is a problem for you, it is a problem to raise before you connect a shop, not after.

What we can do is stop processing new data, close your access, and answer a request about what we hold. The Privacy Policy sets out how.

9. What you may not do with it

  • Do not use Resibo to issue an invoice for a sale that did not happen, or to misstate one that did.
  • Do not use it for a taxpayer you are not authorised to act for.
  • Do not try to reach data belonging to another account, probe the service for weaknesses without our written agreement, or work around the limits of your plan.
  • Do not resell access, or run the service on behalf of others, without a written arrangement with us.
  • Do not upload malware, or anything that is not what it claims to be, through the import path.

If you find a security flaw, write to us at support@resibo.ph before you tell anybody else. We will not pursue you for finding it in good faith.

10. Availability

We aim to keep the service running and will tell you when we know it is not. We do not promise uninterrupted availability, and parts of the service depend on systems we do not control: the marketplaces, the Bureau, our hosting providers.

A marketplace changing its API without notice is a real and recurring event. When it breaks a connection, we fix it as fast as we can and the orders are pulled once it is fixed.

11. Liability

The service is provided as it is. To the extent the law allows, we exclude warranties that are not written in these terms.

We are liable for what we get wrong in the software: a computation that does not follow the rules as stated, data we lose, a failure to keep the archive we promised. We are not liable for a tax position that turns out to be wrong in law, for penalties assessed against you, for a marketplace reporting an order incorrectly to us, or for an invoice that is wrong because your business profile was wrong.

Where we are liable, our total liability across all claims is limited to the fees you paid us in the twelve months before the claim arose.

Nothing here excludes liability that cannot lawfully be excluded.

12. Suspension and termination

You may stop using Resibo at any time. We may suspend or close an account that breaches section 9, that we are required to close, or that has gone unpaid after we have asked.

Before we close an account we will give you a reasonable chance to export your invoices, except where a legal requirement stops us. Section 8 still applies to the archive afterwards.

13. Processing your buyers' personal information

When we read your orders we handle personal information about your buyers. For that information you are the personal information controller under the Data Privacy Act of 2012, and we are your personal information processor. This section is the written arrangement that relationship requires.

  • We process buyer information only to produce, record and transmit your invoices, and only on your instructions, which are the instructions you give by using the product.
  • We keep it confidential and limit access to people who need it. Internal reads of buyer information are logged with the reason given, and are never part of an ordinary list view.
  • We apply the security measures in the Privacy Policy, and we require the same discipline of the providers listed on the subprocessors page.
  • We tell you without undue delay if we become aware of a breach affecting your data, and we help you meet your own notification duties.
  • We help you answer a data subject's request, since it will usually reach you rather than us.
  • Section 8 limits what deletion can mean: the invoice archive is retained for the period tax law requires, and this survives the end of this agreement.

The marketplaces mask most buyer identity before it ever reaches us, which reduces this exposure but does not remove it.

14. Changes to these terms

This document carries a version and an effective date, at the top of the page. When we change it in a way that affects your rights or ours, we bump the version, and we ask you to accept the new one rather than applying it quietly.

Smaller corrections, a typo or a clearer sentence that changes no obligation, are made without a new acceptance.

15. Governing law

These terms are governed by the laws of the Republic of the Philippines, and the courts of the Philippines have jurisdiction over any dispute arising from them.
